terms of service
DRAFT for attorney review — not legal advice. Prepared for Lau Holdings ahead of the MELAÜDIC launch on Friday 23 October 2026. Items marked [PLACEHOLDER] need the founder or attorney. Items marked ATTORNEY: are open questions, not final wording.
MELAÜDIC Terms of Service
Effective date: [PLACEHOLDER — effective date] Last updated: [PLACEHOLDER — date]
Hi, and welcome to MELAÜDIC. These terms are the deal between you and us when you use the MELAÜDIC app (listed as "MELAUDIC" in the app stores) and the website at itsmelaudic.com. We've kept them as short and plain as we can. Please read them. By creating an account or using MELAÜDIC, you agree to them.
1. Who we are
MELAÜDIC is run by Lau Holdings [PLACEHOLDER — full legal entity name and type], registered in [PLACEHOLDER — country/state], company number [PLACEHOLDER], with its registered address at [PLACEHOLDER — legal address]. "We", "us" and "our" mean Lau Holdings. "You" means you, the person using MELAÜDIC.
Contact: hello@itsmelaudic.com [PLACEHOLDER — confirm inbox]. Legal notices: legal@itsmelaudic.com [PLACEHOLDER — confirm inbox] and by post to the address above.
2. What MELAÜDIC is
MELAÜDIC is a music streaming app where every artist is an AI artist. There are 250 original AI artists across 10 houses. You can listen, follow artists, like songs, make playlists, post song ideas on the request wall, vote in collab ballots, chat with AI artists, get notifications and share cards with friends.
None of our artists is a real person, and none is meant to copy, imitate or sound like a real person. Every artist is labelled as AI in the app. More on how this works in our AI Transparency notice.
3. Who can use MELAÜDIC
- You must be 13 or older. If you're under 13, please don't use MELAÜDIC. When you sign up we ask for your birth month and year. If you're under 13, we close the account and delete its data.
- If you're 13 to 17, you can use MELAÜDIC, but only with clean versions of songs and stricter chat rules (see section 8). Please go through these terms with a parent or guardian. ATTORNEY: confirm whether parental consent/acknowledgement wording is needed for minors in the target markets (and whether minors can accept these terms at all in each market).
- We may also use age signals your phone's app store gives us (for example, Apple's Declared Age Range or Google Play Age Signals). These can only make your settings stricter, never looser.
- You must be allowed to use the service under the laws where you live, and you can't use MELAÜDIC if we've banned you before.
- Please tell us your real birth month and year. Giving a false age breaks these terms.
4. Your account
- Guest mode. You can start listening right away as a guest. A guest session is tied to your device. If you delete the app or lose the device, you may lose your guest data.
- Accounts. You can upgrade to a full account with email and password, Sign in with Apple, or Sign in with Google. Your guest data comes with you.
- Keep it safe. Keep your password private and don't share your account. You're responsible for what happens on your account. If you think someone else got in, change your password and use "Sign out everywhere" in Settings, then tell us.
- Your handle. Pick a handle that isn't offensive, misleading or someone else's name or brand. We may reclaim handles that break the rules.
- Parental PIN. A parent or guardian can set a 4-digit PIN that locks the explicit-content setting. Whoever knows the PIN controls that setting, so keep it private.
- Deleting your account. You can delete your account at any time in Settings → Account → Delete account. This deletes your personal data as described in our Privacy Policy. Anonymous totals (like a song's play count) stay.
5. Your licence to use MELAÜDIC
We give you a personal, non-exclusive, non-transferable, revocable licence to use MELAÜDIC for your own, non-commercial listening and fun, following these terms.
Unless we say otherwise in the app, you may not:
- download, rip, record, copy, re-upload or redistribute our music, videos, images, lyrics or artists;
- use our music or artists in your own commercial projects, ads, streams or videos (sharing a MELAÜDIC share card or link the way the app offers is fine);
- use any of our content, or the service, to train, fine-tune or test any AI or machine-learning model, or to build a dataset;
- scrape, crawl or bulk-collect anything from MELAÜDIC;
- reverse engineer the app, get around our age, explicit-content or chat limits, or try to pull out how an artist's voice, look or sound is made;
- break or overload the service, test its security without our written OK, or get into accounts or systems that aren't yours;
- fake plays, votes, likes, follows or requests (bots, scripts, farms, multiple accounts).
6. Community rules
When you post, chat or interact on MELAÜDIC, you agree to follow our Community Guidelines. The short version: be kind, keep it about music, no hate, threats, harassment, sexual content, spam, scams, personal info, or anything illegal. Extra care around teens.
7. Your content
"Your content" means what you add to MELAÜDIC: your profile (display name, handle, photo, bio, pronouns, houses), playlist names, request-wall ideas, chat messages, support messages and reports.
7.1 You keep ownership
You own your content. We don't claim it.
7.2 The licence you give us
So we can run MELAÜDIC, you give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display, adapt (for example resize a photo or format text) and distribute your content only to operate, show, moderate, improve and promote MELAÜDIC. This licence lasts as long as your content is on MELAÜDIC, and ends when you or we delete it, except:
- where it's been shared with others and they've reused it in the app (for example a playlist they copied), and
- for copies we must keep for legal, safety or backup reasons (backups roll over in [PLACEHOLDER — e.g. 35] days).
7.3 Request-wall ideas (special terms — please read)
ATTORNEY: this clause needs careful review. Key points: (a) enforceability of an idea licence and moral-rights waiver against minors (13–17), who may be able to disaffirm contracts in many jurisdictions; (b) whether a short idea (6–90 characters) is even protectable, and whether we want a licence, an assignment, or simply an acknowledgement that ideas are free to use; (c) "no payment" wording against consumer-fairness rules (EU Unfair Terms Directive, UK CRA 2015 Part 2, US unconscionability); (d) whether an opt-out from credit should exist; (e) whether to require an explicit tick-box acceptance on first request post; (f) the founder's plan to later sell songs/merch built on ideas; (g) future real-artist or FLAÜNTE use of tracks built on ideas — confirm the scope covers it without naming other brands to fans.
The request wall lets you suggest an idea for a song by an artist ("a summer song about missing the last train"). When you post an idea:
- Ideas are shared freely. Your idea is public on the wall, and you're not sharing anything secret or confidential.
- We can turn it into a song. You give us a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable licence to use, adapt, change, combine with other ideas, and build on your idea in any way, including to create songs, lyrics, videos, artwork, posts and other works, and to release, perform, stream, sell and license those works in any media now known or invented later.
- No payment. You won't be paid, and you won't get royalties or any ownership share in anything we make from an idea, even if the song is popular or earns money.
- Credit. If we pick your idea and release a song based on it, we'll try to credit you in the app as "Idea by @yourhandle". If you've deleted your account or changed your handle, we may credit "a MELAÜDIC fan" instead. A missed or wrong credit isn't a breach of these terms, but tell us and we'll fix it.
- No obligation. We don't have to use your idea. Lots of fans suggest similar things, and we, our artists and other fans may already be working on something like it. Using a similar idea doesn't mean we used yours.
- Moral rights. To the extent the law allows, you waive (or agree not to assert) any moral rights in your idea against us and the people we license, such as the right to be named or to object to changes. Where they can't be waived, you agree we can use your idea as described here.
- It's yours to give. Only post ideas that are your own, aren't someone else's lyrics or song, and don't name or describe a real person in a way that could hurt them.
- Deleting it. You can delete your idea from the wall. That removes it from public view, but it doesn't take back the licence in point 2 for an idea we've already picked or started working on.
7.4 Your promises about your content
You promise that you have the rights to what you post, that it follows our Community Guidelines, and that it doesn't break anyone else's rights (copyright, trademark, privacy, publicity) or the law.
7.5 Feedback
If you send us feedback or suggestions about the app (not request-wall ideas), we can use them without owing you anything.
8. Chatting with AI artists
- It's AI. When you chat with an artist, the replies are written by an AI system run by our AI provider (Anthropic). No human is writing as the artist in real time. The artist will tell you it's an AI if you ask.
- Consent first. Before your first chat we ask you to agree that your chat messages (and limited context such as your age band and the artist's public profile) are sent to our AI provider to generate replies. You can say no and still use the rest of MELAÜDIC.
- AI can be wrong. Replies can be inaccurate, odd, repetitive or not what you expect. Don't rely on chat for facts, or for medical, legal, financial, mental-health or safety advice. Artists may talk about made-up stories from their music. That's fiction.
- Not a friend, therapist or partner. Artist chat is for fun conversations about music. Artists won't flirt, roleplay romance, or ask for personal details. If you're struggling, please talk to someone you trust. If you mention you're in danger, we'll show you crisis resources. In an emergency, call your local emergency number.
- Limits. Free accounts get 5 messages a day per artist (resets at midnight UTC). We may change limits or pause chat (for example, if our AI provider is down).
- Teens. If you're 13 to 17, chat uses stricter rules: no mature topics, extra care around feelings and safety, and no sharing contact details.
- Rules apply. Our Community Guidelines apply to chat. Messages are checked by automated filters. We don't read your chats casually. A human (the founder) looks at a chat only when it's reported, flagged by our safety systems, or needed for a legal or safety reason.
- Keep it private. Please don't share personal info (your full name, address, school, phone number, passwords) in chat.
9. Moderation, decisions and appeals
MELAÜDIC is run by a very small team: the founder, with help from AI agents. Here's how we keep things safe and fair:
- How we check content. Automated filters check text when you post it (requests, bios, handles, display names, chat, support messages). An AI safety agent reviews things our filters flag and things people report. The founder reviews serious cases and anything an AI agent is unsure about. Bans and account suspensions are always reviewed by the founder before they happen.
- What we can do. We can refuse, hide or remove content, limit features (for example chat or the request wall), give you a warning, suspend or ban your account, and report illegal content to the authorities where the law requires it. See the enforcement ladder in our Community Guidelines.
- We'll tell you why. If we take action against your content or account, we'll tell you what we did, why, which rule it relates to, whether it was automated, and how to appeal — unless the law, or a safety risk, stops us.
- Report and block. You can report any content or profile and block other users from inside the app.
- Appeals. If you think we got it wrong, appeal from the notice in the app or email appeals@itsmelaudic.com [PLACEHOLDER — confirm inbox] within 6 months. A human (the founder) reviews every appeal, and the person reviewing is not just the same automated system. We aim to reply within [PLACEHOLDER — e.g. 7] days.
- Other options. If you're in the EU, you may also be able to use a certified out-of-court dispute settlement body, and you can always go to court. If you're in the UK, you can complain to us and, for some issues, to Ofcom or the ICO. ATTORNEY: confirm DSA Art. 20–21 applicability given micro/small enterprise exemption, and UK OSA complaints procedure wording.
10. Our intellectual property
MELAÜDIC, the MELAÜDIC name and logo, the houses, the 250 AI artists (their names, looks, voices, stories and personas), the music, lyrics, videos, artwork and everything else we put in the app belong to Lau Holdings or the people who license them to us. These terms don't give you any rights in them except the licence in section 5.
AI-generated media from MELAÜDIC carries Content Credentials (C2PA provenance data) and a watermark that marks it as AI-generated. Please don't remove or change them.
ATTORNEY: copyright protection for AI-generated output is uncertain or limited in several jurisdictions (e.g. US Copyright Office guidance on human authorship; UK CDPA s.9(3) computer-generated works). Lyrics written by the founder are human-authored. Consider how to describe ownership of AI-generated audio/visuals without over-claiming, and confirm that the terms of each generation tool used to make the catalogue grant commercial rights in outputs.
If you think something on MELAÜDIC infringes your copyright, see our Copyright Policy.
11. Plans, subscriptions and refunds (coming later)
MELAÜDIC is free at launch. Some plans and extras (for example more artist chats) are shown as "coming soon".
When paid plans arrive, they'll be sold through Apple's App Store or Google Play in-app purchase only, and these rules will apply (we'll update these terms first):
- Prices, billing, renewals and cancellations are handled by the store you bought from, under that store's terms.
- Subscriptions renew automatically until you cancel in your App Store or Google Play account settings.
- Refunds are handled by Apple or Google, not by us. Ask Apple at reportaproblem.apple.com, or Google through Google Play's refund process. We can't issue refunds for store purchases directly.
- Nothing in these terms takes away any right you have by law (for example, EU/UK cancellation rights for digital content, as applied by the stores).
12. Ending things
- You can stop using MELAÜDIC and delete your account at any time.
- We can suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or if we need to protect you, other fans or MELAÜDIC. Where it's reasonable, we'll warn you first and tell you why (see section 9).
- We can change or stop parts of MELAÜDIC, or close the whole service. If we close it, we'll try to give you at least 30 days' notice and a chance to export your data.
- Sections that by their nature should survive (like 7.3, 10, 13, 14 and 15) keep applying after your account ends.
13. Disclaimers
We work hard to make MELAÜDIC great, but it's provided "as is" and "as available". To the extent the law allows, we don't promise that it'll always be available, error-free or secure, that AI replies will be accurate, or that a particular song, artist or feature will stay in the app. Some places don't allow these disclaimers, so they may not all apply to you.
14. Liability
- Nothing in these terms limits liability that can't be limited by law, such as for death or personal injury caused by negligence, fraud, or your statutory consumer rights.
- Otherwise, to the extent the law allows, we're not liable for indirect or unforeseeable losses, lost data you could have exported, or losses caused by things outside our reasonable control.
- To the extent the law allows, our total liability to you for all claims about MELAÜDIC is limited to the greater of (a) what you paid us in the 12 months before the claim, or (b) [PLACEHOLDER — e.g. £50 / US$50].
ATTORNEY: adjust for UK/EU consumer law (CRA 2015, unfair terms), and US state law. Consider whether an indemnity from users is appropriate in a 13+ consumer app (likely omit).
15. Disputes and governing law
- Talk to us first. Most problems can be fixed fast. Email legal@itsmelaudic.com [PLACEHOLDER] and give us 30 days to try to sort it out.
- Governing law: These terms are governed by the laws of [PLACEHOLDER — governing law].
- Courts: [PLACEHOLDER — courts / venue]. If you're a consumer living in the UK or the EU, you can also bring a claim in the courts where you live, and you keep the protection of the mandatory laws of your country.
- US users: [PLACEHOLDER — ATTORNEY to decide whether to include an arbitration agreement and class-action waiver, with small-claims carve-out and opt-out window. Consider minors and state law before adding.]
16. Changes to these terms
We may update these terms as MELAÜDIC grows (for example when paid plans launch). If a change matters, we'll tell you in the app or by email at least 30 days before it applies, unless we need to change something sooner for legal or safety reasons. If you don't agree, you can delete your account before the change applies. Keep using MELAÜDIC after that and the new terms apply.
17. The small print
- These terms, plus the Privacy Policy, AI Transparency notice, Community Guidelines and Copyright Policy, are the whole agreement between us.
- If one part turns out to be unenforceable, the rest still applies.
- If we don't enforce something right away, we haven't given up the right to.
- We can transfer these terms to a company that takes over MELAÜDIC; your rights won't be reduced. You can't transfer your account.
- App store terms. If you got the app from Apple's App Store, Apple isn't a party to these terms and isn't responsible for the app or its support, but Apple and its subsidiaries are third-party beneficiaries of these terms and can enforce them against you. You also agree to the App Store's usage rules. ATTORNEY: check against Apple's minimum EULA terms (Licensed Application End User License Agreement, "Instructions for Minimum Terms of Developer's End-User License Agreement").
- These terms are written in English. If we provide a translation, the English version wins where the law allows.
